These Terms of Business govern the supply of temporary care workers by Prime Staffing Solutions Ltd (Company No. 17171274) ("the Agency") to client organisations ("the Client").
By engaging the Agency to supply temporary workers, the Client agrees to be bound by these terms. These terms take precedence over any terms and conditions the Client may seek to impose, unless agreed in writing by a director of Prime Staffing Solutions Ltd.

Agreed hourly rates will be confirmed in writing prior to the commencement of any placement. Rates include the worker's pay, employer's National Insurance, holiday pay accrual, workplace pension contributions, and the Agency's management fee. No additional charges will be applied without prior written agreement.
The Agency will issue a single consolidated invoice each week covering all shifts worked during the previous week. Invoices are payable within 14 days of the invoice date unless otherwise agreed in writing.
Late payment may result in the suspension of the supply of workers and may attract statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.
Where the Client cancels a confirmed shift with less than 4 hours' notice, the Agency reserves the right to charge a cancellation fee equivalent to 2 hours at the agreed rate. This reflects the costs incurred in confirming worker availability.
Both parties agree to keep confidential any proprietary or commercially sensitive information disclosed during the course of the business relationship. This obligation does not apply to information that is publicly available or required to be disclosed by law.
Both parties shall comply with their respective obligations under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. The Agency's Privacy Policy, available at primestaffing.org/privacy-policy, explains how personal data relating to workers and client contacts is processed.
The Agency is registered with the Information Commissioner's Office under registration number ZC133414.
The Agency's total liability to the Client in respect of any claim arising out of or in connection with these terms shall not exceed the total fees paid by the Client to the Agency in the three months preceding the claim.
The Agency shall not be liable for indirect, consequential or special losses, including but not limited to loss of profit, loss of business or reputational damage.
Nothing in these terms limits either party's liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
These Terms of Business are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
The Agency reserves the right to update these terms from time to time. The Client will be notified of any material changes. Continued engagement after notification constitutes acceptance of the revised terms.
