Terms of Business

1. Introduction

These Terms of Business govern the supply of temporary care workers by Prime Staffing Solutions Ltd (Company No. 17171274) ("the Agency") to client organisations ("the Client").

By engaging the Agency to supply temporary workers, the Client agrees to be bound by these terms. These terms take precedence over any terms and conditions the Client may seek to impose, unless agreed in writing by a director of Prime Staffing Solutions Ltd.

2. The Agency's obligations

The Agency agrees to:

  • Supply temporary care workers who hold a valid enhanced DBS certificate, confirmed before their first placement
  • Ensure all workers have the right to work in the United Kingdom
  • Maintain evidence of workers' qualifications, training and compliance documentation
  • Act as the employer of record for all temporary workers supplied, fulfilling all PAYE, National Insurance, holiday pay and pension obligations
  • Respond to staffing requests within 2 hours during business hours
  • Report any incidents, concerns or complaints relating to a worker within 24 hours of becoming aware
  • Maintain adequate professional indemnity and public liability insurance

3. The Client's obligations

The Client agrees to:

  • Provide a safe working environment for all temporary workers in compliance with health and safety legislation
  • Supervise temporary workers appropriately and in accordance with the care setting's policies and procedures
  • Notify the Agency immediately if a worker is deemed unsuitable or if any safeguarding concern arises
  • Not directly employ any worker introduced by the Agency during the engagement period, or within 12 weeks of the final placement, without first agreeing a transfer fee with the Agency
  • Confirm hours worked by signing or approving timesheets accurately and promptly

4. Rates and invoicing

Agreed hourly rates will be confirmed in writing prior to the commencement of any placement. Rates include the worker's pay, employer's National Insurance, holiday pay accrual, workplace pension contributions, and the Agency's management fee. No additional charges will be applied without prior written agreement.

The Agency will issue a single consolidated invoice each week covering all shifts worked during the previous week. Invoices are payable within 14 days of the invoice date unless otherwise agreed in writing.

Late payment may result in the suspension of the supply of workers and may attract statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.

5. Cancellations

Where the Client cancels a confirmed shift with less than 4 hours' notice, the Agency reserves the right to charge a cancellation fee equivalent to 2 hours at the agreed rate. This reflects the costs incurred in confirming worker availability.

6. Confidentiality

Both parties agree to keep confidential any proprietary or commercially sensitive information disclosed during the course of the business relationship. This obligation does not apply to information that is publicly available or required to be disclosed by law.

7. Data protection

Both parties shall comply with their respective obligations under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. The Agency's Privacy Policy, available at primestaffing.org/privacy-policy, explains how personal data relating to workers and client contacts is processed.

The Agency is registered with the Information Commissioner's Office under registration number ZC133414.

8. Limitation of liability

The Agency's total liability to the Client in respect of any claim arising out of or in connection with these terms shall not exceed the total fees paid by the Client to the Agency in the three months preceding the claim.

The Agency shall not be liable for indirect, consequential or special losses, including but not limited to loss of profit, loss of business or reputational damage.

Nothing in these terms limits either party's liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

9. Governing law

These Terms of Business are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

10. Changes to these terms

The Agency reserves the right to update these terms from time to time. The Client will be notified of any material changes. Continued engagement after notification constitutes acceptance of the revised terms.
